Terms of Service

1. Acceptance
These Terms govern the use of the virtuscopilot.com website and the Virtus Copilot application, provided by ROIVP Negócios Digitais Ltda., CNPJ 41.471.542/0001-20 ("ROIVP"). By creating an account, connecting third-party accounts or using the service, you confirm that you have read and accepted these Terms and the Privacy Policy. If you use the service on behalf of a company, you confirm that you are authorized to accept them on its behalf.
2. The service
Virtus Copilot is a service for designing, implementing and operating marketing, sales and customer success infrastructure, delivered by ROIVP with proprietary technology. Its components include:
- Unified inbox for WhatsApp Business and Instagram direct messages.
- Receipt of contacts from Meta Lead Ads forms.
- Sales pipelines, contact records, tasks and reports.
- Automations and AI-generated suggestions.
Each customer's scope is defined in the commercial proposal and may evolve over time.
3. Account and access
- The customer must provide accurate information and keep it up to date.
- Each user is responsible for keeping their credentials confidential and for actions taken with them.
- The service is intended for businesses and people aged 18 or over.
4. Meta integrations
To use WhatsApp, Instagram, Pages and Lead Ads, the customer connects their accounts through Facebook Login and grants the required permissions. By doing so, the customer:
- Confirms they are an administrator of, or authorized over, the connected accounts, Pages and numbers.
- Agrees to comply with the Meta Terms, the WhatsApp Business and Messaging Policies, the Instagram Terms of Use and the Meta Advertising Standards.
- Acknowledges that these integrations depend on Meta, which may change, limit or suspend its APIs at any time.
- May revoke access at any time, in the application or in Facebook and Instagram settings, as described on the Data Deletion page.
5. Acceptable use
You may not use Virtus Copilot to:
- Send spam, unsolicited bulk messages or messages to people who have not opted in to receive them.
- Distribute illegal, misleading, discriminatory or offensive content, or content that infringes third-party rights.
- Sell products or services prohibited by Meta and WhatsApp policies.
- Collect personal data without a legal basis or pass data received through the platform to unauthorized third parties.
- Attempt to access other customers' accounts, bypass technical limits or compromise the security of the service.
Violations may lead to suspension or termination of the account, without prejudice to other applicable measures.
6. Customer data
- Conversations, contacts and other data entered into or received by the account belong to the customer.
- For its contacts' data, the customer is the controller and is responsible for the legal basis and consent required by applicable law. ROIVP acts as a processor and handles that data only to provide the service.
- ROIVP does not sell customer data or use it for purposes unrelated to the service, as described in the Privacy Policy.
- The customer may export or request deletion of their data at any time.
7. Artificial intelligence
AI-generated suggestions, summaries and replies are support tools and may contain inaccuracies. The customer is responsible for reviewing anything sent on their behalf.
8. Engagement, payment and termination
Scope, price, payment method and term are set out in the commercial proposal and the service agreement. The customer may end the service under the conditions of their contract. After termination, data remains available for export for 30 days and is then deleted, unless retention is required by law.
9. Availability and support
We aim to keep the service continuously available, but interruptions may occur for maintenance, due to third-party failures (such as cloud providers and Meta itself) or force majeure. Support is provided through the channels listed below.
10. Intellectual property
The technology, the Virtus Copilot brand, the design and the website content belong to ROIVP. The contract grants the customer a limited, non-exclusive, non-transferable right to use this technology, valid for as long as the service is provided.
11. Limitation of liability
To the maximum extent permitted by law, ROIVP is not liable for lost profits, loss of revenue or indirect damages, nor for blocks, restrictions or changes applied by Meta to the customer's accounts because of the content the customer sends. ROIVP's total liability is limited to the amount paid by the customer in the 12 months preceding the event.
12. Changes
We may update these Terms. The current version is available on this page, and material changes will be notified with reasonable notice by email or in the application.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of Barueri, São Paulo, Brazil have jurisdiction, unless otherwise required by law.
